Terms of Use

Welcome to https://seniorbusinessdirectory.com/ (the “Site”), operated as Senior Business Directory (“Company,” “we,” “us,” or “our”). These Terms of Use (the “Terms”) govern your access to and use of the Site and the services available through it, including submitting, viewing, and managing listings; searching by category or location; and contacting businesses via phone numbers or external websites (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Definitions

  • Visitor: Any person who uses the Site without creating an account.
  • Member: A registered user with an account on the Site.
  • Listing Owner: A Member or authorized business representative who submits, claims, or manages a business listing on the Site.
  • Listing: Any business profile or entry published on the Site, whether free or paid.
  • Premium Advertising: Any paid placement, sponsored listing, or feature that promotes a Listing.

2) Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. You represent and warrant that you meet these requirements.

3) Accounts and Security

  • Some features require registration. You agree to provide accurate, current, and complete information and to keep it updated.
  • You are responsible for safeguarding your login credentials and for all activity under your account.
  • Notify us of any unauthorized access via our Contact page.
  • We may refuse registration, suspend, or terminate accounts to protect the Services or other users.

4) Directory Features and Interactions

  • Search & Browse: Visitors may use the search bar, categories, and location tools to find Listings.
  • Contacting Listings: The Site may display business phone numbers or links to external websites supplied by the Listing Owner. Any communications, appointments, or transactions are solely between you and the business. We are not a party to, and do not oversee, such interactions.
  • Ranking & Display: Search results and placement may depend on relevance, proximity, data completeness, user activity, and Premium Advertising. We may change ranking and display methods at any time.

5) Listing Submission, Approval, and Management

  • Submission & Approval: Users may submit or claim Listings. All Listings are reviewed by moderators and may be accepted, edited, or rejected at our sole discretion. Approval does not constitute endorsement.
  • Accuracy: Listing Owners are solely responsible for the accuracy and legality of Listing content (e.g., name, description, categories, location, hours, phone/website, images, and claims). You agree to promptly update outdated information.
  • Prohibited Content: Do not submit content that is illegal, fraudulent, misleading, defamatory, obscene, harassing, hateful, discriminatory, privacy-invasive, or infringing; or that includes malware, spam, or personal data of others without consent.
  • Verification: We may request documentation and may display verification indicators; such indicators are informational and not warranties.
  • Edits & Removals: We may edit, unpublish, or remove Listings at any time (including for violations or complaints) without liability.
  • Reviews/Feedback: If enabled, reviews must be honest, experience-based, and non-incentivized. We may moderate or remove reviews at our discretion.

6) Your Content and License

“Your Content” includes Listings, text, images, logos, and feedback you submit.

  • You retain ownership of Your Content. You grant us a nonexclusive, worldwide, transferable, sublicensable, royalty-free license to host, store, reproduce, modify (for formatting/technical reasons), adapt, publish, translate, distribute, publicly perform, display, and otherwise use Your Content in connection with operating and promoting the Services.
  • You represent that you have all necessary rights and that Your Content complies with law and does not violate third-party rights.
  • Your Content may be publicly visible. Do not share confidential information through the Services.

7) Intellectual Property

  • The Site and its content (excluding Your Content) are owned by us or our licensors and protected by intellectual property laws.
  • You may not copy, distribute, create derivative works from, scrape, crawl, or otherwise exploit the Services or content (other than Your Content) without prior written permission.

8) Fees, Premium Advertising, and Billing

  • We may offer paid options such as Premium Advertising or enhanced Listings. Pricing and plan details may appear on pages such as Pricing or related purchase flows.
  • Unless stated otherwise, fees are in U.S. dollars and are nonrefundable to the fullest extent permitted by law.
  • Subscriptions may auto-renew unless cancelled before the renewal date. Manage billing via your Dashboard or Orders, or contact us through the Contact page.
  • We may use third-party payment processors whose terms and privacy policies apply to their services.
  • You are responsible for all applicable taxes.

9) Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes or violate any applicable laws or regulations.
  • Submit false, misleading, or deceptive Listings or reviews; impersonate any person or entity; or misrepresent your affiliation.
  • Collect data from the Site by automated means (scraping, crawling, or harvesting) except as permitted by robots.txt or written authorization.
  • Interfere with the Services, introduce malware, attempt to bypass security, or overload infrastructure.
  • Post content that is defamatory, obscene, pornographic, harassing, hateful, discriminatory, or otherwise objectionable.
  • Manipulate ranking, ratings, or approval processes, or incentivize reviews.

10) Third-Party Sites and Interactions

  • The Services may link to third-party websites or display third-party content (including Listings). We do not control or endorse third parties and are not responsible for their content, accuracy, or policies.
  • Your communications or transactions with businesses are solely between you and them. We are not liable for any resulting loss or damage.

11) Privacy

We collect and use information as described in our privacy practices. By using the Services, you consent to our data practices and use of cookies or similar technologies. Review our privacy disclosures carefully when available on the Site.

12) Copyright and Trademark Complaints

If you believe content on the Site infringes your rights, submit a notice via our Contact page that includes sufficient detail to locate the material and explain your claim. We may remove or disable access to allegedly infringing content and may terminate repeat infringers as required by law.

13) Changes to the Services

We may modify, suspend, or discontinue any part of the Services at any time without liability.

14) Disclaimers

  • No Endorsement or Verification: Listings and other user-generated content are provided by third parties and do not constitute our endorsement or verification. We do not guarantee accuracy, completeness, timeliness, or reliability.
  • No Professional Advice: Site content is for informational purposes only and is not legal, financial, medical, or other professional advice.
  • Use at Your Own Risk: You assume all risk for your use of the Services and your interactions with third parties.
  • As-Is/As-Available: The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and noninfringement.

15) Limitation of Liability

To the fullest extent permitted by law, we and our affiliates, officers, directors, employees, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Services, whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages. Our total liability for any claim will not exceed the greater of (a) the amounts you paid to us (if any) for the Services giving rise to the claim during the 12 months before the claim, or (b) US$100.

16) Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, agents, partners, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to Your Content, your use of the Services, your violation of these Terms, or your violation of any third-party rights.

17) Suspension and Termination

  • We may suspend or terminate your access to the Services at any time, including for violations of these Terms or to protect the Services or other users.
  • Upon termination, your right to use the Services ceases immediately. Sections intended to survive (e.g., ownership, licenses, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

18) Governing Law; Venue

These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of California, U.S.A., without regard to conflict-of-laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in California for disputes that are not subject to arbitration or that may be brought in court.

19) Informal Resolution; Arbitration; Class Action Waiver

  • Informal Resolution: Before filing a claim, you agree to attempt to resolve the dispute by contacting us via the Contact page. If unresolved after 30 days, either party may bring a claim.
  • Arbitration: Except for claims that may be brought in small claims court, disputes will be resolved by binding individual arbitration in English before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this section.
  • Class/Representative Actions: Claims must be brought in your individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding.

Submit notices to us through our Contact page. We may provide notices to you by posting on the Site, within your account, or by other reasonable means.

21) Miscellaneous

  • Changes to Terms: We may update these Terms from time to time. The “Last updated” date indicates the most recent changes. Continued use of the Services after changes become effective constitutes acceptance.
  • Severability: If any provision is deemed invalid or unenforceable, the remaining provisions will remain in full force.
  • No Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign them at any time.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Services and supersede prior or contemporaneous agreements on the same subject matter.
